These Terms of Service (“Terms”) govern access to and use of the website www.zenworkflow.io and the software platform provided by ZenWorkflow Ltd (“Company”, “we”, “us”, “our”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. About the Company

ZenWorkflow Ltd is a company incorporated in the Republic of Cyprus and provides cloud-based workflow and management software solutions for businesses and professional service firms (the “Services”).

Registered Office: Republic of Cyprus.

2. Eligibility

You may use the Services only if:

  • You are at least 18 years old;
  • You have authority to bind the entity you represent;
  • Your use complies with applicable laws and regulations.

If you are entering into these Terms on behalf of a company, you represent that you have authority to do so.

3. Account Registration

To access certain features, you must create an account.

You agree to:

  • Provide accurate and complete information;
  • Maintain confidentiality of login credentials;
  • Be responsible for all activities under your account.

You must notify us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts where misuse is suspected.

4. Description of Services

ZenWorkflow provides a cloud-based workflow management platform, which may include:

  • Task and workflow tracking
  • Document storage and management
  • Client management tools
  • Time tracking and billing features
  • Collaboration tools

We may modify, update, or enhance features at our discretion.

5. Subscription and Fees

Certain features require a paid subscription.

  • Fees are billed in advance (monthly or annually).
  • Payments are non-refundable unless required by law.
  • Failure to pay may result in suspension or termination of Services.
  • We may adjust pricing upon renewal with reasonable notice.

Taxes (including VAT where applicable) are the responsibility of the customer unless otherwise stated.

6. Permitted Use

You may use the Platform solely for lawful business purposes.

You agree not to:

  • Reverse engineer or attempt to extract source code;
  • Circumvent security features;
  • Interfere with system integrity;
  • Upload malicious code;
  • Use the Platform for illegal, fraudulent, or harmful activities;
  • Harvest or scrape data without authorization;
  • Infringe intellectual property rights.

7. Customer Data

You retain ownership of all data uploaded to the Platform (“Customer Data”).

You grant us a limited license to:

  • Host,
  • Store,
  • Process,
  • Transmit,

Customer Data solely for the purpose of providing the Services.

You are responsible for:

  • The legality of Customer Data;
  • Obtaining required consents;
  • Compliance with applicable data protection laws.

8. Intellectual Property

All intellectual property rights in the Platform, including software, branding, design, and content, are owned by ZenWorkflow Ltd or its licensors.

No ownership rights are transferred to you.

You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.

9. Data Protection

Where we process personal data on your behalf, our Data Processing Agreement (DPA) applies.

For data we control directly (e.g., account information), our Privacy Policy applies.

10. Service Availability

We aim to maintain high service availability but do not guarantee uninterrupted or error-free operation.

We may:

  • Perform maintenance;
  • Suspend services for security reasons;
  • Modify or discontinue features.

We are not liable for temporary service interruptions.

11. Security

We implement appropriate technical and organisational security measures.

However, no internet-based system is completely secure. You acknowledge that use of the Platform is at your own risk.

12. Confidentiality

Each party agrees to maintain confidentiality of non-public information received in connection with the Services.

This obligation survives termination.

13. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for indirect, incidental, or consequential damages;
  • Our total aggregate liability shall not exceed the amount paid by you in the 12 months preceding the claim.

Nothing in these Terms excludes liability where prohibited by law.

14. Indemnification

You agree to indemnify and hold harmless ZenWorkflow Ltd from claims arising from:

  • Your misuse of the Services;
  • Your violation of applicable laws;
  • Your infringement of third-party rights.

15. Termination

Either party may terminate the Agreement:

  • Upon material breach;
  • For convenience (subject to subscription terms).

Upon termination:

  • Access to the Platform may be revoked;
  • Data may be deleted in accordance with the DPA and retention policy.

16. Force Majeure

We are not liable for failure to perform obligations due to events beyond reasonable control, including:

  • Natural disasters
  • Cyberattacks
  • Government actions
  • Infrastructure failures

17. Governing Law

These Terms are governed by the laws of the Republic of Cyprus.

Any disputes shall be subject to the exclusive jurisdiction of the Cyprus courts.

18. Changes to These Terms

We may update these Terms periodically.

Where material changes occur, we will provide reasonable notice.

Continued use of the Services constitutes acceptance of updated Terms.
