For entity clients, the Capital structure records issued shares, classes of capital, and who owns what. It is the foundation for share transfers, stock splits, and redemptions, and is used to generate share certificates and reports.
Before you start
Capital types (e.g. Ordinary Shares, Preference Shares, Class A, Class B) are configured at the organisation level so they are consistent across all your clients:
- Open Settings > Client Capital.
- Add the capital types your clients use, with a name and (optionally) a nominal value.
- Save.
Capital management requires the AML/KYC module and a Professional subscription.
Set up an entity's capital
- Open the entity client's detail page.
- Click the Contacts tab.
- In the Capital section, click Add Capital.
- Select the capital type from the dropdown.
- Enter the initial capital details:
- Date of issue
- Currency
- Total number of shares authorised
- Nominal price per share
- Click Save.
The capital section now shows the issued capital, its nominal value, and a percentage breakdown of shareholders (once you allocate shares).
Allocate shares to shareholders
- Make sure each shareholder is added as a contact with the Shareholder relationship type (see "How to add a contact relationship").
- From the Capital section, allocate the agreed number of shares to each shareholder.
- Shareholding percentages update automatically as you allocate.
Tip: Use the Client Statement and capital reports to produce a snapshot of the share register at any point in time — useful for company filings and due diligence requests.
